Terms of Website Communication
Communications through our website or via email are not encrypted, which can create a risk to the privacy and security of those communications. AGREEMENT
These Terms of Use describe the terms and conditions applicable to your use of this website and any affiliated websites, (the "Online Services") operated by Skin Associates of South Florida, P.A. ("the Practice," "we," "our," or "us"). Your access to and use of the Online Services and the information, materials, products, and services available through the Online Services is subject to all applicable laws and regulations and to these Terms of Use, including any future modifications ("Agreement"). By accessing, browsing, or submitting information through the Online Services, you acknowledge that you have read and understand this Agreement, and that you agree to be bound by its terms and conditions. If you do not agree to be bound by this Agreement and to abide by all applicable laws, you must discontinue use of the Online Services immediately. As long as you comply with these Terms of Use, the Practice grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Online Services.
Your access to and use of the Online Services and the information, materials, products, and services available through the Online Services are subject to these Terms of Use. By accessing or using the Online Services, you acknowledge that you understand and agree to be bound by these Terms of Use. If you do not understand or agree to be bound by these Terms of Use, do not access or use the Online Services.
CHANGES TO THESE TERMS OF USE
We reserve the right to modify these Terms of Use, in whole or in part, in our own discretion at any time. Modifications shall be effective immediately upon the linking of modified Terms of Use to the Online Services. You agree to comply with, and be bound by, any such modifications by continuing to use or access the Online Services after modified Terms of Use are posted to the Online Services.
PRIVACY POLICY
Our privacy policy ("Privacy Policy") is a part of these Terms of Use and is incorporated by reference. By accepting these Terms of Use you agree to our collection, use, and disclosure of your information as described in the Privacy Policy. The Privacy Policy is distinct from the Practice's Health Insurance Portability and Accountability Act of 1996 ("HIPAA") Notice of Privacy Practices which describes in detail overall how we use and disclose your individually identifiable health information. In the event of any inconsistency between the Privacy Policy or these Terms of Use and the Notice of Privacy Practices, the inconsistency will be resolved in favor of the Notice of Privacy Practices.

AUTHORIZED USE
You represent and warrant that you possess the legal right and ability to enter into this Agreement and to use these Online Services in accordance with all terms and conditions herein. You agree to be financially responsible for all use of these Online Services. You agree not to assign, transfer or sublicense user rights pursuant to this Agreement.
Subject to your acceptance of and compliance with these Terms of Use, the Practice grants you a non-exclusive, non-transferable, limited right to view, access, use, download, and print selected portions of the Online Services and the materials thereon for your personal use only, provided that you do not republish that content and that you keep intact all copyright, trademarks, servicemarks, attributions, patent, and other proprietary notices. Except as expressly provided in these Terms of Use or otherwise allowed by the Practice, you may not use the Online Services for any commercial purpose.
You agree to comply with all laws, rules, and regulations applicable to your use of the Online Services. You may not use the Online Services for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of the Practice or others.

- You will only use the Online Services for your sole, personal use and you will not resell them to a third party;
- You will not copy or distribute the Online Services or other Online Services content;
- You will not upload or transmit any communications or content of any type that infringes or violates any rights of any party;
- You will not use the Online Services for any purpose in violation of local, state, federal or international laws;
- You will not use the Online Services as a means to distribute advertising or other unsolicited material to any third party;
- You will not impersonate another person;

We reserve the right to immediately terminate your use of the Online Services should you fail to comply with any of the foregoing rules.
You are free to establish a hypertext link to our Online Services so long as the link does not state or imply any sponsorship of your website or service by us or by our Services. However, you may not, without our prior written permission, frame or inline link any of the content of our Online Services, or incorporate into another website or other service any of our material, content or intellectual property.
INTELLECTUAL PROPERTY POLICY
All text, graphics, user interfaces, photographs, trademarks, logos, sounds, music, artwork, computer code, and other materials contained on the Online Services (collectively, "Content") is owned, controlled, or licensed by the Practice, and is protected by trade dress, copyright, patent, and trademark laws, and various other intellectual property rights and laws. No license to or right in any such Content is granted to or conferred upon you. Except as expressly provided in these Terms of Use, you agree not to use, modify, copy, reproduce, republish, upload, post, transmit, distribute, sell, license, rent, publicly display or perform, edit, adapt or create a derivative work of, in any manner, any Content or any other part of the Online Services, without the Practice's express prior written consent.
YOUR PROVISION OF PERSONAL INFORMATION TO US
When you provide information about yourself to us, you agree to: (a) provide accurate, current, and complete information about yourself; and (b) maintain and promptly update such information to keep it accurate, current, and complete. If you provide any such information that is untrue, inaccurate, or incomplete, or we have reasonable grounds to suspect that such information is untrue, inaccurate, or incomplete, we have the right to refuse any and all current or future use of the Online Services or any portion thereof.

The Online Services content, including but not limited to information about medical conditions and Practice services, provided by the Practice through the Online Services is for informational purposes only. Online Services Content is not intended to be a substitute for professional medical advice, diagnosis, or treatment. You acknowledge and agree that the Practice has not represented that the Online Services Content has the ability to diagnose disease, prescribe treatment, or perform any other tasks that constitute the practice of medicine.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS: A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR. WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PRACTICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR THE PRACTICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, THE PRACTICE'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
INDEMNIFICATION
You agree to defend, indemnify, and hold us, our affiliates, subsidiaries, joint ventures, third-party service providers, and our respective employees, contractors, agents, officers, and directors harmless from all liabilities, claims, and expenses (including reasonable attorneys' fees) that arise out of or are related to any User-Provided Content you submit, post, transmit, or make available through the Online Services, your violation of these Terms of Use, your misuse of the Online Services, or your violation of any third-party rights.
VIOLATION OF THESE TERMS OF USE
The Practice may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Online Services, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) the Practice's rights or property, or the rights or property of visitors to or users of the Online Services, including the Practice's patients. The Practice reserves the right at all times to disclose any information that the Practice deems necessary to comply with any applicable law, regulation, legal process or governmental request.
You acknowledge and agree that the Practice may preserve any transmittal or communication by you with the Practice through the Online Services or any service offered on or through the Online Services, and may also disclose such data if required to do so by law or the Practice determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of the Practice, its employees, users of or visitors to the Online Services, and the public.
You agree that the Practice may, in its sole discretion and without prior notice, terminate your access to the Online Services and/or block your future access to the Online Services if we determine that you have violated these Terms of Use or other agreements or guidelines, which may be associated with your use of the Online Services. You agree that the Practice may, in its sole discretion and without prior notice, terminate your access to the Online Services, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you, (3) discontinuance or material modification of the Online Services or any service offered on or through the Online Services, or (4) unexpected technical issues or problems.
If the Practice does take any legal action against you as a result of your violation of these Terms of Use, the Practice will be entitled to recover from you, and you agree to pay, all reasonable attorneys' fees and costs of such action, in addition to any other relief granted to the Practice. You agree that the Practice will not be liable to you or to any third party for termination of your access to the Online Services as a result of any violation of these Terms of Use.
GOVERNING LAW
You agree that all matters relating to your access to or use of the Online Services, including all disputes, will be governed by the laws of the United States and by the laws of the State of Florida without regard to its conflicts of laws provisions. You agree to the personal jurisdiction by and venue in the state and federal courts in Miami-Dade County, Florida, and waive any objection to such jurisdiction or venue. The preceding provision regarding venue does not apply if you are a consumer based in the European Union. If you are a consumer based in the European Union, you may make a claim in the courts of the country where you reside. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. Claims made under the separate terms and conditions of purchase for goods and services are not subject to this limitation.
SEVERABILITY
If any of the provisions of these Terms of Use are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect.
WAIVER
Any waiver by us of a breach of any provision of these Terms of Use shall not operate as or be construed to be a waiver of any other breach of such provision or of any breach of any other provision of these Terms of Use. Any waiver must be in writing. Failure by us to insist upon strict adherence to any term of these Terms of Use on one or more occasions shall not be considered a waiver or deprive us of the right to insist upon strict adherence to that term or any other term of these Terms of Use.
TERMINATION
We reserve the right, in our sole discretion, to terminate or block your access to all or part of the Online Services, with or without notice, for any reason or no reason, including without limitation your violation of these Terms of Use. Upon any termination of the Agreement by either you or the Practice, you must promptly destroy all materials downloaded or otherwise obtained from this Online Services, as well as all copies of such materials, whether made under the terms of use or otherwise.
SPECIAL PROVISIONS APPLICABLE TO USERS OUTSIDE THE UNITED STATES
We strive to create a global community with consistent standards for everyone, but we also strive to respect local laws. The following provisions apply to users and non-users who interact with the Practice outside the United States:
- You consent to having your personal data transferred to and processed in the United States.
- If you are located in a country embargoed by the United States, or are on the U.S. Treasury Department's list of Specially Designated Nationals you will not engage in commercial activities on the Practice website (such as advertising or payments).
VOID WHERE PROHIBITED
The Practice administers and operates the Online Services from its location in Coral Gables, FL, USA; other Practice Online Services may be administered and operated from various locations outside the United States. Although the Online Services is accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Online Services are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. The Practice reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Online Services is void where prohibited. If you choose to access the Online Services from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.
OTHER
- This agreement makes up the entire agreement between the parties regarding the Practice, and supersedes any prior agreements.
- Other than as provided in a purchase agreement you enter into with us, we will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected.
- You will not transfer any of your rights or obligations under this agreement to anyone else without our consent.
- All of our rights and obligations under this agreement are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
- Nothing in this agreement shall prevent us from complying with the law.
- This agreement does not confer any third party beneficiary rights.
- We reserve all rights not expressly granted to you.
- You will comply with all applicable laws when using or accessing the Online Services.

By downloading, accessing, or using the Online Services, and/or by registering with us or providing information to us in connection with the Online Services, you accept the practices and policies outlined in this privacy policy, and you hereby consent that we will collect, use, and share your information as set forth in this privacy policy and the Practice's Health Insurance Portability and Accountability Act of 1996 ("HIPAA") Notice of Privacy Practices. If you are using the services on behalf of an individual or entity other than yourself, you represent that you are authorized by such individual or entity to accept this privacy policy on such individual's or entity's behalf.

What information do we collect?
Information You Provide – We and our service providers collect any information that you provide when you use the Online Services, including when you request a consultation or otherwise contact us with a question, comment, or request.
The information that you provide us can include, but is not limited to: (a) your name; (b) your contact information; (c) your interest in various dermatological procedures; and (d) any other information you choose to share with us, such as your medical condition or health information.
Information Automatically Collected From You – We and our service providers may automatically collect certain technical information from your computer or mobile device over time and across different websites when you use the Online Services, such as your Internet Protocol address, your general geographic location, your browser type, your operating system, the pages you view on the Online Services, the pages you view immediately before and after you access the Online Services, and the search terms you enter on the Online Services.
